Acceptance of TermsThis Terms and Conditions agreement ("Agreement") is a legally binding contract between you ("Member," "you," "your") and Sol Power Midwest™, an Illinois limited liability company ("Sol Power Midwest," "we," "us," "our"). This Agreement governs your access to and use of the Equity Eligible Contractors™ membership website, including all associated software, systems, proprietary templates, resources, tools, training programs, and informational content (collectively, the "Service").By clicking "I Accept," registering for an account, or accessing or using any part of the Service, you acknowledge that you have read, understand, and irrevocably agree to be bound by all terms and conditions of this Agreement and our incorporated Privacy Policy. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms. If you do not agree to all terms, you are not permitted to access or use the Service and must exit immediately.2. Description of ServiceThe Service is an interactive, internet-based membership platform that provides equity-eligible contractors, general contractors, and specialty contractors with proprietary systems, know-how, documentation, and processes to originate, win, and profitably deliver clean energy projects. This includes, but is not limited to, access to the Sol Power Midwest™ EquiESCO Clean Jobs System™, Sol Power Midwest™ Clean Energy Training Programs™, Investment Grade Business Process™, and Investment Grade Risk Assessment and Management™. The Service is designed as a professional tool for internal business development and is focused on applications within the Illinois Climate and Equitable Jobs Act (CEJA) framework and other relevant jurisdictions.3. Membership and Authorized Users3.1. Account Registration: You must register for an account to access the Service. You agree to provide accurate, current, and complete information during the registration process and to promptly update such information to maintain its accuracy.3.2. Authorized Users: Access is granted to you and your designated "Authorized Users," defined as your current, individual employees, contractors, or agents who are authorized to use the Service on your behalf. The number of Authorized Users is limited by your subscription tier. You are solely responsible for the compliance of all Authorized Users with this Agreement.3.3. Credential Security: Each set of login credentials (username, password) is personal and non-transferable. You are strictly prohibited from sharing credentials. You are fully responsible for all activities that occur under your account, whether authorized by you or not. You must notify us immediately at Adminstration@eeccoalition.com of any unauthorized use of your account or any other security breach.4. Intellectual Property Rights and License Grant4.1. Our Ownership: The Service and all content therein, including our family of trademarks (e.g., Sol Power Midwest™, Equity Eligible Contractors Coalition™), proprietary documents, systems, software, and the structure, sequence, and organization of the Service, are the exclusive property of Sol Power Midwest™ and its licensors and are protected by intellectual property laws. All rights not expressly granted herein are reserved.4.2. Limited License Grant: Subject to your compliance with this Agreement, Sol Power Midwest™ grants you and your Authorized Users a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service during your active subscription term solely for your internal business operations related to clean energy project development.4.3. Your Client Information: You retain ownership of any intellectual property rights in the data, text, and files you submit to the Service ("Client Information"). You grant Sol Power Midwest™ a limited license to host, process, and display your Client Information only as necessary to provide the Service to you.4.4. Aggregated Data: You grant Sol Power Midwest™ a perpetual, irrevocable, royalty-free, worldwide license to use, distribute, and create derivative works from aggregated and anonymized data derived from your Client Information ("Aggregated Data"). Aggregated Data will be stripped of all personally and commercially identifiable information and used for purposes such as improving our Service, conducting industry analysis, and developing new features.4.5. Promotional Use: You grant Sol Power Midwest™ the right to identify you or your company by name and logo as a member of the Equity Eligible Contractors™ coalition on our website and in our marketing materials.5. Member Obligations and RestrictionsYou agree not to, and to ensure your Authorized Users do not:-Misuse the Service: Use the Service for any illegal purpose or in violation of any applicable law.-Infringe Intellectual Property: Copy, reproduce, modify, create derivative works from, distribute, or publicly display any part of the Service without our express written permission.-Reverse Engineer: Decompile, disassemble, reverse engineer, or otherwise attempt to discover the source code or underlying ideas or algorithms of the Service.-Circumvent Systems: Interfere with or circumvent the security features of the Service, or use it in any manner that could disable, overburden, or impair it.-Share Access: Share account access, resell, lease, trade, or otherwise transfer the Service to any third party.-Extract Content: Systematically scrape, download, or copy any proprietary templates or content from the Service into a non-Sol Power Midwest document or system.-Remove Markings: Remove, alter, or obscure any copyright, trademark, or other proprietary notices contained within the Service.-Upload Malicious Code: Introduce any viruses, worms, spyware, or other malicious code to the Service.6. Payment Terms-Fees: You agree to pay all subscription fees specified for your chosen membership plan. Fees are exclusive of all taxes, which you are solely responsible for paying.-Payment: Subscription fees are billed in advance on a recurring basis (e.g., monthly, annually). By providing a payment method, you authorize us to charge it for all applicable fees.-No Refunds: All fees are non-refundable, except as required by law. You will not receive a refund or credit for partial subscription periods or if you cancel your account.-Automatic Renewal: Your subscription will automatically renew for successive terms unless you cancel at least thirty (30) days before the end of the current term by emailing admin@equityeligiblecontractors.com.-Suspension for Non-Payment: We reserve the right to suspend or terminate your access to the Service for non-payment of any overdue fees.7. Disclaimers and Limitation of Liability7.1. No Professional Advice: THE SERVICE IS PROVIDED FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. IT DOES NOT CONSTITUTE LEGAL, FINANCIAL, TAX, OR ENGINEERING ADVICE. YOU ARE SOLELY RESPONSIBLE FOR CONSULTING WITH QUALIFIED PROFESSIONALS (E.G., ATTORNEYS, ACCOUNTANTS, ENGINEERS) BEFORE ACTING ON ANY INFORMATION FROM THE SERVICE.7.2. Service "As Is": TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. SOL POWER MIDWEST™ EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.7.3. Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SOL POWER MIDWEST™, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES) ARISING FROM YOUR USE OF THE SERVICE.7.4. Cap on Liability: OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THIS AGREEMENT OR THE SERVICE WILL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO SOL POWER MIDWEST™ IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.8. IndemnificationYou agree to defend, indemnify, and hold harmless Sol Power Midwest™ and its affiliates, officers, agents, and employees from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of and access to the Service; (b) your violation of any term of this Agreement; (c) your violation of any third-party right, including any intellectual property right; or (d) any claim that your Client Information caused damage to a third party.9. Term and Termination-Term: This Agreement begins on the date you first accept it and continues until your subscription is terminated.-Termination by You: You may terminate your subscription at any time by notifying us at admin@equityeligiblecontractors.com. Termination is effective at the end of your current billing cycle; no fee refunds will be provided.-Termination by Us: We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach this Agreement.-Effect of Termination: Upon termination, your right to use the Service ceases immediately. You are responsible for downloading your Client Information prior to termination. We may, but are not obligated to, permanently delete your Client Information after a reasonable post-termination period. Sections 4 (Intellectual Property), 5 (Restrictions), 7 (Disclaimers), 8 (Indemnification), 10 (Governing Law), and this Section 9 (Term and Termination) will survive any termination.10. Governing Law and Dispute Resolution-Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of laws principles.-Exclusive Jurisdiction: The state and federal courts located in Winnebago County, Illinois, shall have exclusive jurisdiction over any dispute arising out of this Agreement, and you hereby consent to the personal jurisdiction of such courts.-Waiver of Jury Trial: YOU AND SOL POWER MIDWEST™ HEREBY WAIVE ANY RIGHT TO A JURY TRIAL IN ANY ACTION OR PROCEEDING ARISING OUT OF THIS AGREEMENT.-Time Bar: Any cause of action arising out of or related to the Service must commence within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.11. Miscellaneous-Privacy Policy: Our collection and use of your information is governed by our Privacy Policy, which is incorporated into this Agreement by reference.-Third-Party Links: The Service may contain links to third-party websites. We do not endorse and are not responsible for the content or practices of these sites. Access them at your own risk.-Amendments: We reserve the right to modify this Agreement at any time. We will provide notice of material changes by posting the new Agreement on the Service and updating the "Last Updated" date. Your continued use after such notice constitutes acceptance of the changes.-Contact: All notices to you may be made via email or posting within the Service.
